Job Purpose:
To manage and oversee all matters related to company shares, statutory compliance, and corporate governance. This includes handling shareholder relations, regulatory filings, board and shareholder meetings, and ensuring compliance with legal and regulatory frameworks (e.g., SECP, Companies Act).
Key Responsibilities:
Shares Management:

Maintain and update shareholders’ register and related records.

Ensure accurate processing of share transfers, transmissions, and allotments.

Handle issuance of share certificates, duplicate shares, and shareholding queries.

Manage dividend declarations and distributions in coordination with finance.

Coordinate with the Share Registrar and relevant authorities.
Corporate Affairs & Compliance:

Organize and manage Board of Directors' meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).

Draft board resolutions, meeting minutes, and ensure timely filing of statutory forms (Form A, Form 29, etc.).

Ensure compliance with Companies Act, 2017, SECP regulations, PSX rules, and corporate governance codes.

Prepare and file statutory returns and disclosures with SECP, PSX, and other regulatory authorities.

Support legal audits, due diligence, and corporate restructuring matters.
Stakeholder and Regulatory Liaison:

Act as a point of contact for shareholders, SECP, PSX, and other regulatory bodies.

Liaise with external legal counsel, auditors, share registrars, and company secretaries.

Ensure timely dissemination of financial and statutory disclosures.
Qualifications & Experience:

Bachelor’s or Master’s degree in Law, Finance, Business Administration, or related field.

Preference for candidates with LLB/LLM or qualified Company Secretary (ICSP or ICSA).

5–8 years of relevant experience in corporate governance, company secretarial affairs, or share management.

Prior experience in a listed company or regulatory environment is highly preferred.
Skills & Competencies:
